REALMOVE AGENT SUBSCRIPTION TERMS AND CONDITIONS

Version: 2026-V3 | Effective Date: 1st January 2026

1. INTRODUCTION AND DEFINITIONS

These Terms and Conditions ("Agreement") govern the relationship between RealMove Group Limited ("RealMove", "we", "us", "our") and the subscribing estate agent ("Agent", "you", "your") for the use of our property listing and marketing services.

Definitions:

  • "Services" means the property listing, marketing, and related services provided by RealMove through our Platform.
  • "Platform" means the RealMove website (www.realmove.com) and associated applications.
  • "Subscription Period" means the duration of your active subscription as specified in your subscription tier.
  • "Property Listings" means property advertisements submitted by the Agent to the Platform.
  • "Revenue Share" means the percentage of advertising revenue shared with participating agents as specified by tier.

2. SERVICE OVERVIEW

RealMove provides estate agents with a comprehensive property listing platform. Key features include:

  • Property listing syndication across our network
  • AI-powered property enhancement tools
  • Lead generation and enquiry management
  • Marketing and promotional opportunities
  • Revenue sharing from platform advertising

3. SUBSCRIPTION TIERS AND REVENUE SHARING

RealMove operates a tiered subscription model with advertising revenue sharing:

Important: Your tier is locked at the time of subscription and will not change for the duration of your subscription, regardless of when you joined.

4. COST AND PAYMENT

4.1 Free Service: RealMove is completely FREE for estate agents. There are no subscription fees, listing fees, or hidden charges.

4.2 Revenue Model: RealMove generates revenue through advertising displayed on the Platform. Participating agents share in this advertising revenue according to their tier.

4.3 Revenue Payments: Revenue share payments are calculated monthly and paid quarterly in arrears, subject to a minimum threshold of £50.

5. AGENT OBLIGATIONS

By subscribing to our Services, you agree to:

  1. Provide accurate, complete, and up-to-date property information
  2. Maintain valid estate agency licensing and regulatory compliance (including registration with a redress scheme)
  3. Respond to property enquiries within 48 hours
  4. Remove or update listings promptly when properties are sold, let, or withdrawn
  5. Comply with all applicable laws, regulations, and advertising standards
  6. Not engage in any fraudulent, misleading, or deceptive practices
  7. Not upload content that infringes third-party intellectual property rights
  8. Maintain professional conduct in all communications with potential buyers/tenants
  9. Create a 'backlink' on your website linking to www.realmove.com.

6. REALMOVE OBLIGATIONS

RealMove agrees to:

  1. Provide access to the Platform and Services as described
  2. Maintain reasonable platform availability (target 99.5% uptime, excluding scheduled maintenance)
  3. Process and display property listings within 24 hours of submission
  4. Forward property enquiries to agents promptly
  5. Calculate and pay revenue share in accordance with these terms
  6. Provide reasonable technical support during business hours

 

7. SUBSCRIBER EQUITY PARTICIPATION SCHEME

  • RealMove operates a subscriber equity participation scheme under which qualifying subscribers will become entitled to an economic interest linked to 25% of the share capital of RealMove Group Limited, represented by 250,000 non-voting shares, in the event of a future sale of the company.
  • Any interest made available under this scheme will be held collectively through a nominee or special purpose vehicle (SPV) approved by RealMove, so that qualifying subscribers are represented through a single holding structure rather than as individual shareholders on the company’s cap table.
  • Any shares or rights made available under this scheme shall be non-voting only and shall not give subscribers any management control, board representation, veto rights, information rights beyond those expressly provided, or any right to participate directly in the governance of RealMove Group Limited.
  • The subscriber pool shall be calculated by reference to a fixed benchmark of 25,000 UK estate agency branches or self employed individual agents. Each qualifying branch/individual agent subscribed to the RealMove platform at the time of a relevant sale event shall represent one unit of the subscriber pool. On this basis, each qualifying branch/self employed agent shall correspond to one twenty-five-thousandth of the 25% pool, subject always to the detailed terms of the Subscriber Equity Agreement.
  • A subscriber will only qualify for an allocation under this scheme if, at the time of the relevant sale of the company, the subscriber:
    • is an active subscriber of RealMove;
    • is in compliance with all applicable RealMove terms and conditions;
    • has one or more qualifying subscribed branches on the RealMove platform;
    • has created and maintained an active advertising ‘backlink/adlink’ on its own website linking to www.realmove.com.
  • Any agent that has unsubscribed, ceased to be an active subscriber, breached the applicable RealMove terms and conditions, or otherwise fails to satisfy any of those conditions at that time shall receive no shares, no allocation, and no payment under the scheme.
  • Any allocation that is forfeited, lapses, or otherwise does not vest shall not be reallocated or redistributed among other subscribers and shall simply lapse, unless the separate Subscriber Equity Agreement states otherwise.
  • The subscriber equity participation scheme is subject at all times to the terms of this Subscriber Equity Agreement which shall govern the detailed operation of the scheme, including without limitation the treatment of sale proceeds, valuation mechanics, verification of branch numbers, verification of backlink compliance, nominee or SPV arrangements, tax treatment, fractional share accounting, rounding, administration, and any caps, adjustments, or procedural requirements.
  • RealMove may update the way the Subscriber Equity Scheme is documented in these Terms, at any time on giving subscribers reasonable notice, provided that any such change shall not unlawfully affect rights that have already vested under the applicable Subscriber Equity Agreement.
  • Nothing in this clause gives any subscriber an immediate legal or beneficial ownership of shares in RealMove Group Limited except through the nominee or SPV structure and the applicable Subscriber Equity Agreement. The scheme is intended to create a contractual right to participate in sale proceeds only in the circumstances and on the terms expressly stated.

8. INTELLECTUAL PROPERTY

8.1 Agent Content: You retain ownership of all property descriptions, photographs, and other content you submit. You grant RealMove a non-exclusive, worldwide licence to display, reproduce, and distribute this content for the purpose of providing the Services.

8.2 RealMove IP: All RealMove branding, software, and platform features remain our exclusive property.

8.3 AI-Enhanced Content: Any content enhanced or generated using our AI tools may be used by both parties for marketing purposes.

9. DATA PROTECTION

9.1 Compliance: Both parties agree to comply with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018.

9.2 Data Processing: RealMove processes personal data as a data controller for platform operations and as a data processor for agent customer data. Our Privacy Policy provides full details.

9.3 Enquiry Data: Property enquiry data is shared with agents solely for the purpose of responding to those enquiries. Agents must not use this data for unrelated marketing without obtaining appropriate consent.

10. TERMINATION

10.1 Agent Termination: You may terminate your subscription at any time by providing 30 days written notice to agents@realmove.com.

10.2 RealMove Termination: We may terminate your subscription with 30 days notice, or immediately if you breach these terms.

10.3 Effect of Termination: Upon termination:

  • Your property listings will be removed from the Platform
  • Access to the agent dashboard will be revoked
  • Outstanding revenue share will be paid within 60 days (if above minimum threshold)
  • You must cease using any RealMove branding or materials

11. LIMITATION OF LIABILITY

11.1 RealMove provides the Platform and Services "as is" without warranty of any kind.

11.2 To the maximum extent permitted by law, RealMove shall not be liable for any indirect, incidental, special, or consequential damages.

11.3 Our total liability for any claims shall not exceed the total revenue share paid to you in the 12 months preceding the claim, or £1,000, whichever is greater.

11.4 Nothing in these terms limits liability for death, personal injury caused by negligence, or fraud.

12. INDEMNIFICATION

You agree to indemnify and hold RealMove harmless from any claims, damages, or expenses arising from:

  • Your breach of these terms
  • Your property listings or content
  • Your interactions with property seekers
  • Any violation of applicable laws or regulations

13. MODIFICATIONS TO TERMS

13.1 RealMove may modify these terms with 30 days notice via email.

13.2 Continued use of the Services after modifications take effect constitutes acceptance of the new terms.

13.3 If you do not agree to modified terms, you may terminate your subscription.

14. DISPUTE RESOLUTION

14.1 Any disputes should first be raised with our support team at agents@realmove.com.

14.2 If not resolved within 30 days, either party may refer the matter to mediation before pursuing legal action.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes.

16. ENTIRE AGREEMENT

These Terms and Conditions, together with our Privacy Policy and any supplementary terms, constitute the entire agreement between you and RealMove regarding the Services.
